Open Channel Media LLC
1712 Pioneer Ave STE 500
Cheyenne, WY 82001
United States of America
Open Channel Media LLC is a Wyoming limited liability company organized under the laws of the State of Wyoming. We operate SaturdaySignal.com as a financial publishing service providing stock recommendations, market analysis, and investment commentary to the general public via subscription.
2. NOT A REGISTERED INVESTMENT ADVISER — PUBLISHER'S EXEMPTION
2.1 Registration Status
IMPORTANT NOTICE: OPEN CHANNEL MEDIA LLC AND SATURDAYSIGNAL.COM ARE NOT REGISTERED AS INVESTMENT ADVISERS WITH THE U.S. SECURITIES AND EXCHANGE COMMISSION ("SEC") OR WITH ANY STATE SECURITIES REGULATORY AUTHORITY. WE ARE NOT REGISTERED AS A BROKER-DEALER WITH THE SEC, FINRA, OR ANY STATE SECURITIES REGULATORY AUTHORITY. WE ARE NOT A FIDUCIARY TO YOU OR ANY OTHER PARTY.
2.2 Publisher's Exemption Under the Investment Advisers Act
We operate under the publisher's exemption provided by Section 202(a)(11) of the Investment Advisers Act of 1940 (15 U.S.C. § 80b-2(a)(11)), as interpreted by the United States Supreme Court in Lowe v. SEC, 472 U.S. 181 (1985). This exemption permits publishers of bona fide financial publications to provide investment commentary to the general public without registering as investment advisers, provided the following conditions are satisfied:
(a) Impersonal Advice. All advice, recommendations, analysis, and commentary provided by SaturdaySignal.com constitute general, impersonal information provided to the public at large. We do not provide, and our Service should not be construed as providing, personalized investment advice tailored to any individual subscriber's specific financial situation, investment objectives, risk tolerance, time horizon, tax situation, or other personal circumstances. Our recommendations are the same for all subscribers and are not customized to any individual.
(b) Bona Fide Publication. SaturdaySignal.com constitutes a bona fide publication of general and regular circulation available to the general public on a paid subscription basis. Our Service is published on a regular schedule (weekly for Premium subscribers; bi-weekly for Basic subscribers) and is offered to any member of the public willing to pay the subscription fee.
(c) No Investment Discretion. We do not have, and expressly disclaim, any discretionary authority or control over subscriber investment accounts. All investment decisions are made solely and exclusively by the subscriber. We do not execute trades on behalf of subscribers, we do not manage subscriber funds or accounts, we do not have access to subscriber brokerage accounts, and we do not have authority to make investment decisions for subscribers.
2.3 No Fiduciary Relationship
NO FIDUCIARY RELATIONSHIP EXISTS BETWEEN OPEN CHANNEL MEDIA LLC AND ANY SUBSCRIBER OR USER OF SATURDAYSIGNAL.COM. We do not owe you any fiduciary duties. We are a publisher of financial information, not your investment adviser, financial planner, attorney, accountant, or fiduciary in any capacity. You should not interpret any communication from us as creating a fiduciary, advisory, or other special relationship.
2.4 Not a Substitute for Professional Advice
Our Service is not a substitute for individualized advice from a qualified investment adviser, financial planner, attorney, certified public accountant, or other licensed professional. Before making any investment decision, you should consult with appropriate professionals who can evaluate your specific circumstances.
3. FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY
3.1 Nature of Our Content
All content published by SaturdaySignal.com—including but not limited to stock recommendations, buy signals, sell signals, market analysis, research reports, newsletters, email alerts, website content, track record data, model portfolios, and any other materials, whether written, audio, video, or in any other format (collectively, "Content")—is provided solely for educational and informational purposes.
3.2 What Our Content Is NOT
Our Content should NOT be construed as, and does NOT constitute:
- Personalized investment advice or recommendations
- A recommendation or solicitation to buy, sell, hold, or otherwise transact in any security
- An offer to sell or a solicitation of an offer to buy any security
- A recommendation that any particular security, portfolio, transaction, or investment strategy is suitable for any specific person
- Tax advice, legal advice, or accounting advice
- A substitute for consultation with qualified licensed professionals
- A guarantee or promise of any particular investment outcome
- Research reports as defined by FINRA or SEC regulations
- A securities recommendation requiring suitability analysis
3.3 Your Sole Responsibility
YOU ALONE ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR DETERMINING WHETHER ANY INVESTMENT, INVESTMENT STRATEGY, SECURITY, OR RELATED TRANSACTION IS APPROPRIATE FOR YOU. This determination must be based on your personal investment objectives, financial circumstances, risk tolerance, investment time horizon, liquidity needs, tax situation, and any other factors relevant to your individual situation.
You should consult with a licensed and qualified investment adviser, broker-dealer, financial planner, tax professional, and/or attorney before making any investment decisions. Any reliance on our Content is at your own risk.
4. INVESTMENT RISK DISCLOSURE
4.1 General Risk Warning
INVESTING IN SECURITIES INVOLVES SUBSTANTIAL RISK OF LOSS. YOU MAY LOSE SOME, MOST, OR ALL OF YOUR INVESTED CAPITAL. THERE IS NO GUARANTEE THAT ANY INVESTMENT STRATEGY, RECOMMENDATION, OR METHODOLOGY WILL BE SUCCESSFUL OR PROFITABLE. THE RISK OF LOSS IN TRADING SECURITIES CAN BE SUBSTANTIAL.
4.2 Specific Risks You Should Consider
By subscribing to and using our Service, you acknowledge that you understand and accept the following risks:
4.2.1 Market Risk
The value of securities can fluctuate significantly—sometimes rapidly and unpredictably—due to market conditions, macroeconomic factors, geopolitical events, changes in interest rates, inflation, deflation, currency fluctuations, pandemics, natural disasters, regulatory changes, and other variables entirely beyond our control, prediction, or anticipation. Securities markets can experience extended periods of decline. Individual securities may decline in value, become illiquid, or become entirely worthless.
4.2.2 Individual Security Risk
Any individual security recommended by SaturdaySignal.com may decline in value substantially, and you may lose some or all of your investment in any particular security. Company-specific risks include but are not limited to: earnings disappointments, revenue shortfalls, profit margin compression, management changes, executive departures, competitive pressures, technological disruption, product failures, supply chain disruptions, regulatory actions, government investigations, litigation, securities fraud, accounting irregularities, restatements, bankruptcy, insolvency, delisting, and other adverse events.
4.2.3 Small-Cap and Mid-Cap Risk
Our recommendations may include small-capitalization and mid-capitalization securities, which are generally subject to greater price volatility, lower trading volume, wider bid-ask spreads, less publicly available information, and less analyst coverage than large-capitalization securities. Small-cap and mid-cap companies may have limited operating histories, limited financial resources, and may be more vulnerable to adverse business or economic events.
4.2.4 Liquidity Risk
Some securities may have limited trading volume, thin market depth, or wide bid-ask spreads, which may make it difficult or impossible to buy or sell shares at desired prices or in desired quantities. You may receive a materially different price than expected when executing trades. During periods of market stress, liquidity may disappear entirely for certain securities.
4.2.5 Newsletter Effect / Recommendation Impact
When we publish a stock recommendation to our subscriber base, the collective action of subscribers and other market participants who become aware of the recommendation may result in a temporary or permanent change in demand for that security, potentially affecting the price at which you can purchase or sell shares. This "newsletter effect" may cause:
- Prices to increase before you can execute a purchase at the recommended price
- Prices to decline after initial buying pressure subsides
- Increased volatility around the time of our recommendations
- Slippage between our recommended entry price and your actual execution price
4.2.6 Timing Risk
There may be delays between when we publish a recommendation and when you receive it, read it, make a decision, and execute a trade. Market conditions and security prices may change materially during this time.
4.2.7 Execution Risk
Your actual execution prices may differ—sometimes substantially—from prices referenced in our recommendations due to market conditions, order types, order sizes, brokerage execution quality, and timing.
4.2.8 Concentration Risk
Following our recommendations may result in a portfolio that is concentrated in certain sectors, industries, market capitalizations, or geographic regions, which may increase volatility and risk.
4.3 Risk Capital Only
YOU SHOULD ONLY INVEST MONEY THAT YOU CAN AFFORD TO LOSE ENTIRELY WITHOUT AFFECTING YOUR LIFESTYLE OR FINANCIAL SECURITY. Do not invest your emergency fund, money needed for living expenses, funds required to meet financial obligations, retirement savings you cannot afford to lose, borrowed money, or funds obtained through credit cards, home equity loans, or other forms of debt.
5. PAST PERFORMANCE AND TRACK RECORD DISCLOSURE
5.1 Past Performance Warning
PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE PERFORMANCE. YOU SHOULD NOT ASSUME THAT FUTURE PERFORMANCE OF ANY SPECIFIC INVESTMENT, INVESTMENT STRATEGY, OR RECOMMENDATION WILL BE PROFITABLE, WILL EQUAL PAST PERFORMANCE LEVELS, OR WILL BE SUITABLE FOR YOUR PORTFOLIO.
Any track record, performance data, historical returns, or results presented on SaturdaySignal.com or in our materials reflect past performance only and should not be interpreted as a guarantee, promise, representation, or prediction of future results.
5.2 Backtested and Hypothetical Performance Disclosure
PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. THE TRACK RECORD SHOWN ON OUR WEBSITE AND IN OUR MATERIALS MAY REFLECT BACKTESTED AND/OR MODEL PORTFOLIO RESULTS, NOT ACTUAL TRADING. BACKTESTED RESULTS HAVE INHERENT LIMITATIONS: THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT, DO NOT REFLECT ACTUAL TRADING, AND DO NOT ACCOUNT FOR SLIPPAGE, COMMISSIONS, OR OTHER EXECUTION COSTS. ACTUAL RESULTS MAY DIFFER MATERIALLY.
HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER-COMPENSATED OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.
Where any performance data on our Website or in our materials is marked with an asterisk (*) or otherwise identified as "backtested," "hypothetical," "simulated," or "model portfolio," such data is subject to ALL of the limitations described in this Section 5 and should not be interpreted as representative of actual subscriber results. Backtested performance is calculated retroactively by applying a trading strategy to historical market data. Because the strategy was developed using knowledge of past market conditions, backtested results invariably overstate what could have been achieved in real time. You should assume that backtested results are not reliable indicators of future performance.
5.3 Track Record Methodology
Our published track record is calculated using the following methodology:
(a) Entry Price: The closing price of the security on the trading day our recommendation is published and delivered to subscribers, or if published on a non-trading day (e.g., Saturday), the closing price on the next trading day (typically Monday).
(b) Exit Price: The closing price on the trading day we recommend selling the position; OR the closing price on the trading day a trailing stop loss is triggered; OR the current market price for positions that remain open.
(c) Return Calculation: Total return including price appreciation/depreciation and any dividends received and reinvested during the holding period.
(d) Holding Period: Calculated from entry date to exit date or current date for open positions.
5.4 Track Record Limitations
You should understand and accept the following material limitations of our track record:
- Hypothetical Nature: Our track record is based on hypothetical or model portfolio results and does not represent actual trading results from any subscriber account or any account managed by Open Channel Media LLC.
- No Actual Trading: We do not trade securities based on our recommendations. Our track record reflects what an investor theoretically could have achieved if they had executed trades at the stated prices, which may not have been possible.
- Execution Differences: Your actual results will differ—potentially substantially—from our published track record due to differences in execution prices, order timing, order types, partial fills, failed executions, brokerage routing, and market impact.
- Cost Exclusions: Our track record does NOT account for brokerage commissions, transaction fees, SEC fees, exchange fees, taxes (including short-term capital gains taxes), margin interest, borrowing costs, platform fees, data fees, or any other costs that would reduce your actual returns.
- Slippage: Our track record does not account for slippage—the difference between expected transaction prices and actual execution prices—which can be substantial, especially for less liquid securities or larger order sizes.
- Dividend Assumptions: Dividend reinvestment is assumed at closing prices, which may not reflect actual reinvestment prices.
- Selection Period: Performance may be measured from periods that show favorable results.
5.5 Full Transparency Policy
We are committed to complete transparency. We publish our entire track record, including all losing positions. We do not cherry-pick winners, hide losing trades, selectively report results, or present misleading partial performance data. Every recommendation we make is publicly tracked and reported on our Track Record page, enabling you to evaluate our complete, unedited performance history before subscribing.
5.6 Subscriber Trading Control and Execution Discretion
Subscribers maintain full control over their own trading decisions. You may skip any trade, exit at your own discretion, modify position sizes, or execute at different prices than those referenced in our signals. There is no obligation to act on any recommendation, and you are under no time pressure to do so.
Our signals are designed to provide a comfortable window for you to evaluate and act on your own terms. This is not time-sensitive day trading. Recommendations are delivered on Saturdays, giving you time to review them before markets open. You decide whether, when, and how to act — if at all. Your actual portfolio will reflect your own decisions regarding which signals to follow, entry and exit timing, position sizing, and risk management, and may therefore differ significantly from any published model portfolio or track record.
6. DISCLOSURE OF CONFLICTS OF INTEREST
We are committed to transparency regarding potential conflicts of interest. You should be aware of and carefully consider the following disclosures:
6.1 Positions in Recommended Securities
OPEN CHANNEL MEDIA LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES (COLLECTIVELY, "RELATED PERSONS") MAY HOLD LONG OR SHORT POSITIONS IN SECURITIES THAT ARE RECOMMENDED, DISCUSSED, OR MENTIONED IN OUR PUBLICATIONS.
Specifically, you should be aware that:
- Related Persons may purchase securities before we recommend them to subscribers.
- Related Persons may sell or close positions while securities remain active recommendations to subscribers.
- Related Persons may profit from securities that we recommend to you.
- Related Persons may hold positions that are different from, or contrary to, our published recommendations.
- Related Persons are not obligated to follow our published recommendations in their personal trading.
- Related Persons may trade at different prices, in different sizes, and at different times than our recommendations suggest.
6.2 Trading Policy
We have implemented a trading policy that requires Related Persons who have advance knowledge of recommendations to wait a reasonable period after publication before trading in recommended securities for their personal accounts. However, this policy is internally administered and may not eliminate all conflicts.
6.3 Revenue Sources
Our primary source of revenue is subscription fees paid by our subscribers. We may also earn revenue from:
- Affiliate commissions from financial products, services, brokerages, or tools we recommend or link to
- Display advertising on our website
- Sponsored content or sponsorship arrangements (which will be clearly disclosed)
- Sale of other products or services
6.4 No Compensation for Recommendations
WE DO NOT ACCEPT COMPENSATION, PAYMENT, REMUNERATION, OR ANYTHING OF VALUE FROM ANY COMPANY, ISSUER, OR THIRD PARTY IN EXCHANGE FOR RECOMMENDING, FEATURING, OR FAVORABLY DISCUSSING THEIR SECURITIES. Our recommendations are based solely on our independent analysis. If any material relationship exists between us and a company whose securities we discuss, we will disclose that relationship.
6.5 Affiliate Disclosure (FTC Compliance)
In accordance with the Federal Trade Commission's (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), we disclose that we may receive compensation if you click on affiliate links on our website or in our emails and subsequently purchase products or services. This compensation may influence which products or services we feature, though we endeavor to provide honest, objective information.
6.6 No Insider Information
We do not have access to, and do not use, material non-public information about any company. All of our recommendations are based solely on publicly available information, our proprietary analysis, and our independent judgment.
7. FORWARD-LOOKING STATEMENTS
Our Content may contain forward-looking statements within the meaning of Section 27A of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934. Forward-looking statements include, but are not limited to: projections, forecasts, estimates, price targets, earnings predictions, revenue estimates, opinions about future events, opinions about future market conditions, and opinions about future security performance.

FORWARD-LOOKING STATEMENTS ARE INHERENTLY UNCERTAIN AND SPECULATIVE. They are based on current expectations, assumptions, and beliefs that are subject to significant risks, uncertainties, and other factors—many of which are beyond our control—that could cause actual results to differ materially from those expressed or implied.
You should not place undue reliance on any forward-looking statement as a prediction, guarantee, or assurance of future results. We undertake no obligation to update, revise, or correct any forward-looking statement, whether as a result of new information, future developments, changed circumstances, or otherwise.

21.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@saturdaysignal.com and attempt to resolve any dispute informally. Most concerns can be resolved quickly and to your satisfaction through informal communication.
21.2 Binding Arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE DISCLAIMERS AND DISCLOSURES, OUR SERVICE, OR YOUR SUBSCRIPTION—INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE—SHALL BE RESOLVED BY BINDING ARBITRATION administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified herein.
The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in Cheyenne, Wyoming, or at another location mutually agreed upon by the parties, or by telephone or video conference if agreed by the parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
21.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR OTHER PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial and any right to participate in a class action.
21.4 Small Claims Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.
21.5 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to Open Channel Media LLC, 1712 Pioneer Ave STE 500, Cheyenne, WY 82001, within 30 days of your initial subscription. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration.
22. GOVERNING LAW AND JURISDICTION
These Disclaimers and Disclosures and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. To the extent that litigation is permitted under these Disclaimers and Disclosures, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Laramie County, Wyoming.

If any provision of these Disclaimers and Disclosures is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed, and the remaining provisions shall continue in full force and effect.

The provisions of these Disclaimers and Disclosures that by their nature should survive termination (including but not limited to limitation of liability, disclaimer of warranties, indemnification, and dispute resolution) shall survive termination of your subscription.
